Welcome to Apex Dominus Holdings LLC ("Apex Dominus," "we," "us," or "our"). These Terms of Service ("Terms" or "Agreement") govern your access to and use of our website located at www.apexdominus.shop (the "Website") and the holding company and corporate office services we provide (the "Services"). By accessing our Website or engaging our Services, you agree to be bound by these Terms.
These Terms constitute a legally binding agreement between you and Apex Dominus Holdings LLC, a limited liability company organized under the laws of the State of Wyoming, United States, with its principal place of business at 1718 Capitol Ave, Cheyenne, WY 82001. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree with any part of these Terms, you must not access our Website or use our Services. Your continued use of the Website or Services constitutes your acceptance of these Terms and any updates or modifications we may make. We reserve the right to modify these Terms at any time, and such changes will be effective upon posting on this page.
These Terms apply to all visitors, users, and clients, regardless of whether you are simply browsing our Website or have entered into a separate service agreement with us. Where a separate written service agreement exists, the terms of that agreement shall take precedence in the event of any conflict with these Terms regarding the specific services covered by that agreement.
Holding company and corporate office services are subject to extensive regulation by banking, insurance, utility, transportation, and corporate authorities. Nothing in these Terms is intended to override any applicable regulatory requirement. Where any provision of these Terms conflicts with an applicable regulatory requirement, the regulatory requirement controls.
For the purposes of these Terms, the following definitions apply:
Apex Dominus Holdings LLC provides a range of holding company and corporate office services. Our core service offerings include the following:
We operate bank holding companies (except managing), offices of bank holding companies, and agreement corporations (except international trade financing). Our bank holding company structures are aligned with applicable banking rules and the governance discipline that depository institution structures demand.
We operate financial holding companies, nonbank holding companies (except managing), and holding companies (except bank, managing). Our financial and nonbank holding structures support diversified financial and commercial activities with clear governance and regulatory alignment.
We operate insurance holding companies and personal holding companies. Our insurance and personal holding structures support insurance group arrangements and personal asset holding with clear governance and tax alignment.
We operate public utility holding companies and railroad holding companies serving regulated utility and transportation sectors. Our utility and railroad holding structures are aligned with applicable regulatory frameworks and the governance discipline that regulated sectors demand.
We operate savings and loan holding companies and thrift holding companies serving depository institution structures. Our thrift and savings and loan holding structures are aligned with applicable depository institution rules and governance standards.
We establish centralized administrative offices, corporate offices, district and regional offices, head offices, headquarters offices, holding companies that manage, and subsidiary management offices. Our corporate office arrangements provide clear governance, reporting, and oversight for multi-entity enterprises.
The specific scope, deliverables, timelines, and pricing for any Engagement are defined in a separate service agreement between Apex Dominus Holdings LLC and the Client. These Terms govern the general use of our Website and serve as the baseline terms for all Engagements unless modified by a separate written agreement.
Certain Services — particularly bank holding companies, insurance holding companies, public utility holding companies, railroad holding companies, savings and loan holding companies, and thrift holding companies — may be subject to additional legal, regulatory, or contractual requirements imposed by the applicable Regulator or the Client's own policies. Where applicable, those requirements are incorporated into the Engagement and may override inconsistent provisions of these Terms with respect to that Engagement.
All Content on our Website, including but not limited to text, graphics, logos, images, and design elements, is the property of Apex Dominus Holdings LLC or its licensors and is protected by Intellectual Property Rights under applicable law. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Content from our Website without our prior written consent.
You are granted a limited, non-exclusive, non-transferable license to access and view the Content on our Website for your personal, non-commercial use. This license does not include any right to download, copy, or redistribute Content without express permission. All trademarks, service marks, and trade names displayed on our Website are the property of Apex Dominus Holdings LLC or their respective owners.
Intellectual property rights in Deliverables produced during an Engagement are governed by the terms of the applicable service agreement. Unless otherwise specified in a written agreement, Apex Dominus Holdings LLC retains ownership of its pre-existing methodologies, tools, templates, and proprietary processes used in the course of providing Services. Holding company structures, office arrangements, governance documentation, and similar Deliverables are provided to the Client for the Client's use, subject to the terms of the service agreement.
If you submit information, feedback, or other content to us through our Website or in the course of engaging our Services, you retain ownership of that content. By submitting it, you grant us a non-exclusive, royalty-free license to use, reproduce, and process that content as necessary to provide our Services and operate our business. You represent and warrant that you have the right to submit such content and that it does not infringe the rights of any third party.
Fees for our Services are determined on a per-engagement basis and are specified in the applicable service agreement. Unless otherwise agreed in writing, the following general payment terms apply:
Apex Dominus Holdings LLC reserves the right to suspend or terminate Services if invoices remain unpaid for more than sixty (60) days, subject to the terms of the applicable service agreement, applicable law, and any continuation obligations imposed by a Regulator for regulated engagements.
Confidentiality is fundamental to our business, particularly given the sensitive nature of the corporate, governance, and regulatory information we handle. Both parties agree to maintain the confidentiality of any non-public information disclosed by the other party in the course of engaging with our Website or Services.
Confidential Information includes, but is not limited to, corporate structure information, governance documentation, subsidiary information, regulatory filings, banking and insurance holding arrangements, business plans, client lists, trade secrets, and any other information that is reasonably understood to be confidential or proprietary based on its nature or the circumstances of disclosure.
Each party agrees to use Confidential Information solely for the purpose of providing or receiving Services, to protect it with at least the same degree of care used to protect its own confidential information (but no less than reasonable care), and not to disclose it to third parties without prior written consent, except as required by law or to employees and contractors who need to know and are bound by confidentiality obligations.
For bank holding company, insurance holding company, public utility holding company, railroad holding company, savings and loan holding company, thrift holding company, and corporate office engagements, Confidential Information may be subject to disclosure to banking, insurance, utility, transportation, corporate, or other regulators as required by applicable rules. Such disclosures are made in accordance with the applicable legal framework and do not constitute a breach of this Section where permitted by law or the applicable service agreement.
Confidentiality obligations survive the termination of any Engagement and remain in effect for a period of five (5) years from the date of disclosure, or indefinitely for trade secrets and information that constitutes a trade secret under applicable law. Records subject to regulatory retention requirements, including corporate structure records, governance documentation, and regulatory filings, may be retained for longer periods as required by the applicable Regulator.
Apex Dominus Holdings LLC warrants that its Services will be performed in a professional and workmanlike manner consistent with industry standards for holding company and corporate office services. If a Client identifies a deficiency in the Services within thirty (30) days of delivery, Apex Dominus Holdings LLC will, at its option, re-perform the deficient work or adjust the fees, provided that the deficiency is brought to our attention in writing within the warranty period.
Our Website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Apex Dominus Holdings LLC disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected.
Our holding company and corporate office services are provided for the specific engagement agreed upon and do not constitute legal advice or comprehensive tax planning. Clients should obtain independent legal advice for legal matters and comprehensive tax planning advice where appropriate. Holding company structures address the specific arrangements agreed upon and do not constitute a guarantee of a particular regulatory or tax outcome.
Our holding company and corporate office services are performed in accordance with applicable professional standards and regulatory requirements. Where a regulated engagement is undertaken, the Client agrees to provide the information and access necessary to perform the engagement in accordance with those standards. We reserve the right to decline or withdraw from an engagement where regulatory or other professional requirements would be compromised.
While we strive to deliver high-quality Services, we do not guarantee specific regulatory outcomes, tax outcomes, or business results from the use of our Services. Regulatory and tax outcomes depend on many factors beyond our control, including the Client's business situation, applicable regulatory rules, and the interpretation of regulatory authorities.
Our Website may reference or integrate third-party products, services, or resources. We make no representations or warranties regarding such third-party offerings and disclaim responsibility for their performance, availability, or content.
To the maximum extent permitted by applicable law, in no event shall Apex Dominus Holdings LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost opportunity, or business interruption, arising out of or related to your use of the Website or Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the total aggregate liability of Apex Dominus Holdings LLC arising out of or related to these Terms or the provision of Services shall not exceed the total amount paid by the Client to Apex Dominus Holdings LLC for the specific Services giving rise to the claim during the twelve (12) months preceding the event giving rise to the liability. For engagements subject to a Regulator's contract or rule, liability caps and exclusions are governed by the applicable contract or rule to the extent it provides otherwise.
The limitations and exclusions in this section apply to the fullest extent permitted by applicable law. Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Apex Dominus Holdings LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Website, your violation of these Terms, your violation of any applicable law or the rights of a third party, your inaccurate or incomplete Client Information, or any content or information you submit to us.
Apex Dominus Holdings LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses. You shall not settle any matter without our prior written consent.
This indemnification obligation survives the termination of these Terms and any Engagement and is in addition to any other indemnification obligations set forth in a separate service agreement.
These Terms are effective upon your first access to our Website or engagement of our Services and remain in effect until terminated as provided herein.
Apex Dominus Holdings LLC may suspend or terminate your access to the Website at any time, with or without cause or notice, if we believe you have violated these Terms or for any other reason at our sole discretion. You may discontinue use of the Website at any time.
Engagements may be terminated in accordance with the terms of the applicable service agreement. Unless otherwise specified, either party may terminate an Engagement with thirty (30) days written notice. Upon termination, all outstanding fees for Services performed up to the effective date of termination become immediately due and payable. For regulated engagements, termination may be subject to continuation or transition obligations imposed by the applicable Regulator, which shall take precedence to the extent required.
Upon termination, all licenses and rights granted to you under these Terms cease immediately. Provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property, confidentiality, limitation of liability, and indemnification — shall survive and remain in effect.
These Terms and any dispute arising out of or related to them or to the use of our Website or Services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions, except where a Regulator's contract or rule expressly provides otherwise.
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Laramie County, Wyoming, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
You agree to use our Website and Services only for lawful purposes and in compliance with all applicable laws and regulations. You agree not to engage in any of the following prohibited activities:
Violations of these acceptable use guidelines may result in immediate suspension of access and Services and, where appropriate, referral to law enforcement or Regulators.
Our Website may contain links to third-party websites, services, or resources that are not owned or controlled by Apex Dominus Holdings LLC. We provide these links for your convenience and do not endorse or warrant the content, products, or services available on such third-party sites. You access third-party sites at your own risk.
We are not responsible for the practices or content of third-party websites. We encourage you to review the terms of service and privacy policies of any third-party sites you visit. Your interactions with third-party sites are solely between you and the third party and are not governed by these Terms.
Our Services involve coordination with third-party service providers, regulatory authorities, and other advisors. While we may recommend certain third parties, we are not responsible for their performance, availability, or advice.
Apex Dominus Holdings LLC shall not be liable for any failure or delay in the performance of its obligations under these Terms or any service agreement to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government actions, labor disputes, power outages, telecommunications failures, internet disruptions, or other similar events ("Force Majeure Events").
In the event of a Force Majeure Event, Apex Dominus Holdings LLC will use commercially reasonable efforts to resume performance as soon as practicable. If a Force Majeure Event continues for more than thirty (30) days, either party may terminate the affected Engagement without penalty. Fees paid in advance for Services not performed due to a Force Majeure Event will be prorated and refunded or credited. For regulated engagements, continuation and transition obligations imposed by the applicable Regulator shall take precedence to the extent required.
The party affected by a Force Majeure Event shall promptly notify the other party of the event, its expected duration, and the steps being taken to mitigate its impact. Failure to provide timely notice may limit the protections of this section.
These Terms, together with any service agreement entered into between you and Apex Dominus Holdings LLC and any policies referenced herein, constitute the entire agreement between the parties regarding the use of our Website and Services and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Apex Dominus Holdings LLC. The failure of Apex Dominus Holdings LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
